Recently, we’ve had a lot of clients ask us this question: “Why do I need a registered agent?”. We understand it can be confusing and want to clear the air on their purpose, how they work, and what addresses can be used for business purposes. I put together 10 frequently asked questions and answers to help provide clarity.
Q.1 What is a registered agent?
A.1 A registered agent is a person or company who is designated to receive legal and official documents on behalf of your business. Items could be things like lawsuits, tax notices, and state filings. Most states require you to obtain one while forming your business. This ensures that there’s a reliable contact for state and legal correspondence.
Q.2 How do I get one?
A.2 Here at Acully, we offer registered agent services no matter what state you operate in. Contact us to get started.
Q.3 Can I be my own registered agent?
A.3 Yes, as long as you have a physical address in the state you formed the business in and have normal business hours. In the case you use your own, it will become public record. If you don’t want that, using the registered agent address would suit you better.
Q.4 Can I use my registered agent’s address as my business address?
A.4 No, you are not allowed to use their address as your business’s. You will need to obtain a separate address for tax filings, e-commerce, opening a bank account, and receiving regular mail or packages. You may be able to opt in for mail forwarding or a virtual office for a fee.
Q.5 What if I don’t live in the state where I’m forming my company?
A.5 We see this often with foreign owners and those forming businesses in different states. You will need to hire a registered agent service that’s located in that state to comply with the law.
Q.6 What happens if I don’t have a registered agent?
A.6 Without a RA, your business could lose good standing, miss important notices, or possibly administration requests by the state.
Q.7 Can I use a P.O. box or virtual address as my registered agent address?
A.7 Unfortunately, no. Your address must be a physical street address within the state.
Q.8 What does a registered agent actually do?
A.8 They receive any legal documents, state correspondence, annual reminders, and forward them to you.
Q.9 Do I need a registered agent in every state I operate in?
A.9 Yes, any state your business is registered in you will need to obtain a registered agent.
Q.10 What if I want to change my agent to myself?
A.10 If you moved or obtained an address within the state you’re formed in, you are able to cancel the services for the remainder of the year.
